Qualcomm is set to buy AI software startup Modular in a deal worth about $3.9 billion, aiming to control the software layer that enables hardware-agnostic AI deployment and challenge Nvidia’s dominant CUDA ecosystem.
Qualcomm has agreed to buy Modular, an artificial intelligence software start-up, in an all-stock deal valued at about $3.9 billion, according to the company’s investor day presentation in New York. The move signals a broader ambition than faster chips: Qualcomm is seeking control of the software layer that determines which hardware AI systems can run on, and how easily developers can switch between rival processors.
Under the terms disclosed by Qualcomm, the chipmaker will issue up to 19.2 million shares to Modular’s equity holders, and the transaction is expected to close in the second half of 2026, subject to regulatory approval. Modular’s team of roughly 150 people is set to join Qualcomm, including its co-founders Chris Lattner and Tim Davis.
The deal is widely being read as a challenge to Nvidia’s CUDA ecosystem, which has long helped keep AI developers tied to Nvidia hardware. Modular has built tools intended to make model deployment portable across processors, including its Mojo language and MAX inference engine, which the company says are designed to let AI workloads move across CPUs, GPUs, NPUs and custom accelerators without extensive rewrites.
Modular, founded in 2017 and backed by investors including General Catalyst, GV and SV Angel, has spent years pitching itself as an infrastructure layer for AI development that bridges research and production. Its acquisition would give Qualcomm a presence in the software stack as firms race to reduce dependence on a single supplier, although the plan still faces scrutiny over whether a business owned by a chipmaker can remain genuinely hardware-neutral.
